TERMS OF SERVICE

INTRODUCTION
Next Gen DOOEL Skopje (“Provider” or “we” or “us” or “our”) is a full-service digital marketing agency that focuses on social media marketing and marketing strategy services.
STANDARD OF SERVICES
All Services to be provided by Provider shall be performed in a professional manner with promptness and diligence.
INDEPENDENT CONTRACTOR
The Provider renders all services as an independent contractor.
PROPERTY RIGHTS
The work products from the Services provided shall be owned by the Provider.
CONFIDENTIAL INFORMATION
Confidential Information includes all information identified by a disclosing party as proprietary and confidential. Items will not be considered Confidential Information if:
(a) available to public other than by a breach of an agreement by the recipient;
(b) rightfully received from a third party not in breach of any obligation of any confidentiality;
(c) independently developed by one party without access to the Confidential Information of the other; or
(d) rightly known to the recipient at the time of disclosure as verified by its written records.
The Provider agrees that it shall not use for any purpose or disclose to any third party any Confidential Information without the express written consent.
The Provider will safeguard the Confidential Information against use or disclosure, other than as authorized, through measures, and exercising a degree of care.
WARRANTIES
The Provider warrants that the Services to be provided in a professional manner conforming to generally accepted industry standards and practices.
RETURNS AND REFUNDS
All sales are final. The Provider does not offer any returns or refunds.
DELIVERY
Services that are subject to a monthly fee will be delivered within the contractual month to which they relate.
Services that relate to ad hoc projects will be delivered in accordance with the project plan.
FORCE MAJEURE
The Provider shall be excused from any delay or failure in performance required if caused by reason of any occurrence or contingency beyond its reasonable control, including, but not limited to, acts of God, acts of war, fire, insurrection, strikes, lock-outs or other serious labor 00disputes, riots, earthquakes, floods, explosions or other acts of nature.
GENERAL PROVISIONS
Any assignment in violation of these terms is void.
All disputes arising out of or in connection with the present contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce or by one or more arbitrators appointed in accordance with the said Rules. Judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Each party shall bear its own costs and attorney fees, unless the arbitration award specifically provides otherwise.
GOVERNING LAW
Our work is governed by the laws of the Republic of North Macedonia.
